These Terms of Service (“Terms”) govern your access to and use of the websites, portals, and online services operated by PreOncology LLC (“PreOncology,” “we,” “us,” or “our”), including any content, tools, assessments, reports, and member services made available through them (the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Services: Clinical vs. Non-Clinical
Non-Clinical Services. PreOncology LLC provides the website, member portal, educational content, administrative support, care navigation, scheduling, and technology that may include questionnaires, risk assessments, and reports (collectively, “Non-Clinical Services”).
Clinical Services. Medical evaluation, diagnosis, and treatment (including telehealth visits) are provided by licensed clinicians employed by PreOncology Institute LLC (the “Clinical Services”). Clinical Services are initially available in Florida and Ohio and may expand to additional states. Clinical Services may be subject to additional consents, policies, and notices provided at the time of care (including a Notice of Privacy Practices).
2. Not Medical Advice / Not for Emergencies
The Non-Clinical Services (including content, tools, calculators, risk scores, reports, and recommendations) are for informational and educational purposes and do not constitute medical advice.
No emergencies: Do not use the Services for emergencies. Call 911 (or your local emergency number).
No guaranteed outcomes: The Services do not guarantee prevention, detection, or cure of cancer or any other condition.
3. Eligibility
You must be 18 years or older to use the Services and represent that you have the legal capacity to enter these Terms.
4. Accounts and Security
You may need an account to access certain Services. You agree to:
- Provide accurate information.
- Keep credentials confidential.
- Notify us promptly of unauthorized access.
You are responsible for all activity through your account.
5. Privacy; HIPAA; Genetic Information
Your use is governed by our Privacy Policy and, for Clinical Services, the Notice of Privacy Practices of PreOncology Institute LLC, as applicable.
You acknowledge:
- You may provide sensitive information, including health and genetic information.
- Genetic information may have implications for biological relatives.
- Insurance limitations: The Genetic Information Nondiscrimination Act (GINA) prohibits discrimination in health insurance and employment based on genetic information. However, GINA does not apply to life insurance, disability insurance, or long-term care insurance. You should consider these implications before obtaining genetic testing through the Services.
- You are responsible for the information you submit and for how you choose to use and share results.
6. Telehealth Services (Clinical Services)
Certain Clinical Services may be provided via telehealth (including video, phone, asynchronous messaging, and remote review of records). By choosing telehealth, you acknowledge and agree:
Informed Consent. You consent to telehealth and understand benefits and limitations, including potential technology failures and that an in-person visit may be necessary.
Not for Emergencies. Telehealth is not appropriate for emergencies. Call 911 if you believe you have an emergency.
Location & Licensure. You may receive telehealth services only while you are physically located in a state where the treating clinician is licensed (or otherwise authorized). Clinical Services are currently available to individuals located in Florida and Ohio. We may expand to additional states; current availability is listed on our website. You agree to provide accurate location information at the time of service.
Clinical Judgment Controls. Clinicians may determine telehealth is not appropriate and may recommend in-person evaluation, labs, imaging, or referral.
Prescribing. Prescribing decisions are at clinician discretion and subject to law. Certain medications (including controlled substances) may be restricted or unavailable via telehealth depending on jurisdiction and clinical appropriateness.
Technology & Privacy. You are responsible for a compatible device, internet access, and a private setting. You understand that interruptions may occur, and you assume responsibility for securing your environment.
Recording. Telehealth visits are not recorded unless you are notified and provide consent. If a visit is recorded for quality assurance or compliance purposes, you will be informed at the start of the session and given the opportunity to decline recording.
7. Risk Scores, Screening, and Limitations
If the Services provide risk scores, stratification, screening guidance, or care pathways:
- Outputs are probabilistic estimates, not diagnoses.
- False positives and false negatives are possible with any model or test.
- Recommendations may change as evidence, guidelines, and your information change.
- You should confirm decisions with a qualified clinician and follow clinician guidance for next steps.
8. Third-Party Services and Testing
We may coordinate with third parties (e.g., labs, imaging centers, phlebotomy providers, payment processors, scheduling, and analytics vendors). Third parties are responsible for their own services and may have their own terms and policies. We are not responsible for third-party acts, omissions, availability, or results.
9. Purchases, Subscription, and Billing
Certain Services require payment.
Fees: You agree to pay all applicable fees disclosed at purchase.
Subscriptions: If you enroll in recurring billing, you authorize recurring charges until cancellation per your plan terms.
Price Changes: We will provide at least 30 days’ written notice before increasing subscription fees for existing members. Continued use of the Services after a price change takes effect constitutes acceptance of the new fees. If you do not agree to the new fees, you may cancel your subscription before the change takes effect.
Refunds: Refund policies (if any) are disclosed at purchase. Unless stated otherwise, fees are non-refundable once Services are delivered or access is provided.
Chargebacks: Unauthorized chargebacks may result in suspension pending investigation.
10. Messaging and Response Time
Portal messages and email are not monitored 24/7 and are not for urgent or emergency issues. If urgent, seek in-person care or call 911 as appropriate.
11. Acceptable Use
You agree not to:
- Use the Services unlawfully.
- Interfere with the Services or attempt unauthorized access.
- Reverse engineer, scrape, or harvest data except as permitted by law or written agreement.
- Upload malware or harmful code.
- Use the Services to build or train competing products or models without written authorization.
12. Intellectual Property
The Services and all related content, software, and materials are owned by PreOncology LLC or its licensors and protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial use unless otherwise agreed in writing.
13. User Content
If you submit questionnaires, uploads, messages, or other materials (“User Content”):
- You represent you have rights to submit it.
- You grant PreOncology LLC a license to use User Content as necessary to operate, provide, and improve the Services, consistent with our Privacy Policy and applicable law.
- Removal requests may not remove content from backups or logs maintained for security, compliance, or legal obligations.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT ANY OUTPUTS WILL BE ACCURATE OR COMPLETE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO PREONCOLOGY LLC FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT, OR $500, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations; in such cases, limitations apply to the fullest extent permitted.
16. Indemnification
You agree to indemnify and hold harmless PreOncology LLC, PreOncology Institute LLC, and their affiliates, officers, directors, employees, contractors, clinicians, and agents from claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Services, your breach of these Terms, or your violation of law or third-party rights.
17. Dispute Resolution: Arbitration and Class Action Waiver
Informal Resolution. Before initiating a claim, you agree to contact us at [email protected] with a description of the dispute and requested relief. The parties will attempt in good faith to resolve the dispute for at least 30 days.
Arbitration. If not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Arbitration will be conducted on an individual basis and will take place in Palm Beach County, Florida, unless the parties agree otherwise or a remote hearing is appropriate.
Class Action Waiver. You and PreOncology agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative action.
Exceptions. Either party may bring an individual action in small claims court. Either party may seek injunctive relief in court for misuse of intellectual property, security breaches, or unauthorized access to the Services.
Jury Trial Waiver. You and PreOncology waive any right to a jury trial.
Opt-Out. You may opt out of arbitration by sending written notice to [email protected] within 30 days of first accepting these Terms.
18. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law applies (including the Federal Arbitration Act with respect to Section 17). Clinical Services delivered to individuals located in Ohio are additionally subject to applicable Ohio law, including Ohio telehealth requirements under Ohio Revised Code § 4743.09.
19. Changes to Terms or Services
We may update these Terms from time to time by posting the revised version and updating the “Last Updated” date. Continued use after changes means you accept the updated Terms. For material changes, we will provide reasonable advance notice via email or in-app notification.
20. Communications
You consent to receive communications electronically (email, SMS, portal messages), including service-related notices. You may opt out of marketing messages, but operational and clinical messages may still be sent as permitted by law.
21. Miscellaneous
Assignment: You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or successor.
Severability: If any provision is unenforceable, the remainder remains in effect.
Entire Agreement: These Terms and referenced policies (including the Privacy Policy and Notice of Privacy Practices) are the entire agreement regarding the Services.
